Terms of service
These terms cover your use of goodport. They are deliberately short. If something here seems unfair or unclear, tell us and we will fix the wording rather than hide behind it.
1. Who we are
goodport is an ordering platform for Philippine distributors and wholesalers, operated by John Michael Atad Lopez, a sole proprietor based in the Philippines. In these terms, “we” and “us” mean goodport, and “you” means whoever is using it.
2. What goodport does, and what it does not do
goodport gives a distributor a place to hold their catalogue, price lists, and customers, and gives that distributor’s buyers a portal to place orders. That is all it is: a tool the two of you use to talk to each other.
We are not a party to any sale. We do not sell goods, we do not set prices, we do not take payment for orders, we do not deliver anything, and we do not guarantee that a distributor will fulfil an order or that a buyer will pay for one. The contract for any order is between the distributor and the buyer. If there is a dispute about price, quality, delivery, or payment, it is between the two of you to settle. We will help with the record of what was ordered if that is useful.
3. Accounts
goodport is for business use. You must be at least 18 and be acting for a business. Accounts are created by us or by your distributor, not by self-signup, so you should only have an account if someone gave you one on purpose.
You sign in with a one-time code sent to your mobile number. Keep control of that number and do not share codes with anyone, including anyone claiming to be from goodport. We will never ask you for your code. If you lose access to your number, tell your distributor or email us so we can move your login.
4. If you are a distributor
You are responsible for:
- The accuracy of your catalogue, your prices, your stock information, and the orders you accept.
- The customer data you upload. You must have the right to give it to us, and you must have told those people what you are doing with their data. You are the controller of that data and we process it for you, as set out in our privacy notice and in the data processing agreement we sign with you.
- Who you invite, and removing buyers who should no longer have access.
- Meeting your own legal, tax, and licensing obligations. Those are yours, not ours.
5. If you are a buyer
You are responsible for:
- The orders you place, and for paying your distributor under whatever terms you agreed.
- Keeping your login to yourself.
- Telling your distributor when your store details change.
The prices you see are the prices your distributor set for your store. If one looks wrong, message them on the order thread before assuming it is right.
6. Acceptable use
Do not:
- Try to reach data that is not yours, including another distributor’s or another buyer’s.
- Probe, scan, or test our security without written permission. Ask us and we will talk.
- Upload malware, or content that is unlawful or that you have no right to upload.
- Use goodport to send spam or to harass anyone.
- Scrape or bulk-extract data, or resell access to the service.
If you find a security problem, please tell us at mike@goodport.ph rather than exploiting it. We will not come after anyone who reports a genuine issue in good faith.
7. Cost
goodport is free during the pilot. If we introduce charges later, we will tell you well in advance and you can decide then whether to continue. We will never charge you for something you did not agree to.
8. Availability
We will try to keep goodport running and to fix problems quickly, but this is early software run by a small operation. We do not offer an uptime guarantee, and there will be occasional downtime for maintenance or because something broke. Do not use goodport as your only record of anything you cannot afford to lose. Keep your own copy of your catalogue and customer list.
9. Your data
Your data stays yours. We do not sell it and we do not use it to advertise. What we collect and why is set out in the privacy notice. You can ask for a copy of your data or ask us to delete it at any time.
If you stop using goodport, we keep your data for 12 months and then delete it, unless you ask us to delete it sooner.
10. Ending it
You can stop using goodport whenever you like, and ask us to close your account and delete your data. A distributor can deactivate any of their buyers.
We may suspend or close an account that is breaking section 6, or that is being used to harm someone. Except in a serious case we will contact you first and give you a chance to sort it out. If we ever shut goodport down, we will give you reasonable notice and a way to export your data before we do.
11. Liability
We provide goodport as it is. To the extent the law allows, we are not liable for lost profits, lost sales, or indirect losses arising from your use of it, and our total liability to you is limited to what you have paid us, which during the pilot is nothing.
Nothing in these terms limits liability that cannot legally be limited, including for fraud or for death or personal injury caused by negligence. Nothing here takes away rights you have under Philippine law.
12. Changes
We may update these terms. If a change matters to you, we will tell you before it takes effect and update the version at the top of this page. If you keep using goodport after that, the new terms apply.
13. Governing law
These terms are governed by the laws of the Republic of the Philippines, and the courts of the Philippines have jurisdiction over any dispute.
